Terms Of Use
1. General Terms By downloading or using the app, these terms will automatically apply to you: you should make sure therefore that you read them carefully before using the app. You are not allowed to copy, or modify the app, any part of the app, or our trademarks in any way. You are not allowed to attempt to extract the source code of the app, and you also should not try to translate the app into other languages, or make derivative versions. The app itself, and all the trade marks, copyright, database rights and other intellectual property rights related to it, still belong to Almondi Corp.
2. Payment Terms You can download the App for free but the App is provided on paid subscription basis. The full list of Pro options and pricing is provided on the App's page. You will have an opportunity to try Premium options during the free trial period as provided on the signup screen. After the free trial period expires an auto-renewing subscription period will start on a regular basis. Please mind that you will be charged automatically unless you cancel your subscription 24 hours before the end of the free trial period. Prices are in U.S. dollars and may vary in countries other than the U.S. You will have all necessary information about your subscription plan App's screen before the purchase. Subscription with a free trial period will automatically renew to a paid subscription. Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription, where applicable. We reserve the right to modify, terminate or otherwise amend our offered subscription plans at any time, but by notifying you in advance. Your subscription will be automatically renewed within 24 hours before the current subscription ends. Auto-renew option can be turned off in your iTunes Account Settings at least 24 hours before the end of the current period. Payment will be charged to iTunes Account at confirmation of purchase. No cancellation of the current subscription is allowed during active subscription period. Subscriptions are managed by you. Please note that removing the App from your device does not deactivate your subscription. You may be charged by your communications service provider for downloading and/or accessing the App on your mobile phone or tablet device, so you should check the terms of agreement with your operator. This may include data roaming charges if you do this outside your home territory. Standard text messaging rates or other carrier charges may apply if you send SMS messages or make cellular voice calls. All these charges are solely your responsibility. If you do not pay the bills related to your mobile phone or tablet device, then we assume that you have the permission from the person that does it before incurring any of these charges related to our mobile application. If you log into your account using authentication via phone number, you can receive SMS messages for verification, and the standard tariffs and charges of your operator are applied in this case. Almondi Corp. is committed to ensuring that the app is as useful and efficient as possible. For that reason, we reserve the right to make changes to the app or to charge for its services, at any time and for any reason. We will never charge you for the app or its services without making it very clear to you exactly what you are paying for.
3. Privacy Data The Record Talk app stores and processes personal data that you have provided to us, in order to provide our Service. It is your responsibility to keep your phone and access to the app secure. We therefore recommend that you do not jailbreak or root your phone, which is the process of removing software restrictions and limitations imposed by the official operating system of your device. It could make your phone vulnerable to malware/viruses/malicious programs, compromise your phone security features and it could mean that the Record Talk app will not work properly or at all.
4. Responsibilities regarding internet connection 4.1 Wifi You should be aware that there are certain things that Almondi Corp. will not take responsibility for certain functions of the app will require the app to have an active internet connection. The connection can be Wi-Fi, or provided by your mobile network provider, but Almondi Corp. cannot take responsibility for the app not working at full functionality if you do not have access to Wi-Fi, and you do not have any of your data allowance left. 4.2 Mobile Data If you are using the app outside of an area with Wi-Fi, you should remember that your terms of the agreement with your mobile network provider will still apply. As a result, you may be charged by your mobile provider for the cost of data for the duration of the connection while accessing the app, or other third party charges. In using the app, you are accepting responsibility for any such charges, including roaming data charges if you use the app outside of your home territory (i.e. region or country) without turning off data roaming. If you are not the bill payer for the device on which you are using the app, please be aware that we assume that you have received permission from the bill payer for using the app.
5. General Terms Regarding Responsibility issues 5.1 Along the same lines, Almondi Corp. cannot always take responsibility for the way you use the app i.e. You need to make sure that your device stays charged, if it runs out of battery and you can not turn it on to avail the Service, Almondi Corp. cannot accept responsibility. 5.2 With respect to Almondi Corp. responsibility for your use of the app, when you are using the app, it is important to bear in mind that although we endeavour to ensure that it is updated and correct at all times, we do rely on third parties to provide information to us so that we can make it available to you. Almondi Corp. accepts no liability for any loss, direct or indirect, you experience as a result of relying wholly on this functionality of the app.
6. App Update terms At some point, we may wish to update the app. The app is currently available on Android, iOS & KaiOS, the requirements for system(and for any additional systems we decide to extend the availability of the app to) may change, and you will need to download the updates if you want to keep using the app. Almondi Corp. does not promise that it will always update the app so that it is relevant to you and/or works with the Android, iOS & KaiOS version that you have installed on your device. However, you promise to always accept updates to the application when offered to you, We may also wish to stop providing the app, and may terminate use of it at any time without giving notice of termination to you. Unless we tell you otherwise, upon any termination, (a) the rights and licenses granted to you in these terms will end; (b) you must stop using the app, and (if needed) delete it from your device.
7. Changes to This Terms and Conditions We may update our Terms and Conditions from time to time. Thus, you are advised to review this page periodically for any changes. We will notify you of any changes by posting the new Terms and Conditions on this page. These terms and conditions are effective as of 2020-07-25
8.Disclaimer To the best of Record Talks App knowledge, we represents that Call Recorder does not contain any viruses or other malicious codes. Despite thorough testing of the Call Recorder, complete compatibility with all software, hardware and operating systems cannot be entirely guaranteed. In the event of non-compatibility, you may report such issue to us by email requesting technical support. If the incompatibility issue cannot be resolved, you may uninstall the app directly from the "Apps" within Settings. The app is believed to be compatible only with mobile devices with Android system version 5.0 and up and IOS 13+. Any communications sent to us are the property of Record Talks app or its affiliates. Unless stated otherwise herein, submissions are not considered confidential, and we are not liable for any use or disclosure of a submission. Except as noted herein, we are entitled to unrestricted use of any submissions for any purpose whatsoever without compensation to the provider of the submission.
9. PROHIBITED BEHAVIOUR You agree not to use the App in any way that: - is unlawful, illegal or unauthorized; - is defamatory of any other person; - is obscene or offensive; - infringes any copyright, database right or trademark of any other person; - advocates, promotes or assists any unlawful act such as (by way of example only) copyright infringement or computer misuse. You shall not make the App available to any third parties. In addition, you shall not modify, translate into other languages, reverse engineer, decompile, disassemble or otherwise create derivative works from the App or any documentation concerning the App. Misuse of any trademarks or any other content displayed on the App is prohibited. You shall not copy and/or duplicate and/or distribute and/or publish and/or use any content in the App, directly or indirectly, by way of a violation of our IP rights. Moreover, you shall not make any attempts to use the App or part thereof for malicious intentions. YOU ARE NOT ALLOWED TO USE THE APP FOR ANY KIND OF SURVEILLANCE, SPYING OR SECRET COLLECTING OF DATA. YOU SHALL NOT USE THE APP WITHOUT NOTIFYING YOUR DIALOG PARTNER BEFORE YOU START TO RECORD THE CONVERSATION. It is clarified that we may adopt, against a user who violated the present Agreement, any legal measures at our disposal pursuant to the applicable laws. All disputes arising from the usage of the App, shall be governed by and construed in accordance with the laws of the United States, and shall be submitted to the sole jurisdiction of the competent courts of United States.
10. DISCLAIMER OF WARRANTIES YOU AGREE THAT YOUR USE OF THE APP AND ITS SERVICES SHALL BE AT YOUR SOLE RISK. THE SERVICES AND ALL THE MATERIALS, INFORMATION, SOFTWARE, CONTENT INTEGRATED IN THE APP ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE DO NOT MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, WITH REGARD TO THE MERCHANTABILITY, TECHNICAL COMPATIBILITY OR FITNESS FOR A PARTICULAR PURPOSE OF ANY SERVICE, PRODUCTS OR MATERIAL PROVIDED PURSUANT TO THIS AGREEMENT. WE DO NOT WARRANT THAT THE FUNCTIONS CONTAINED ON OR THROUGH THE SERVICES WILL BE AVAILABLE, UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE 100% QUALITY OF RECORDINGS MADE WITH THE HELP OF THE APP. We do not give you any guarantee for the proper functionality of the App, however, if you believe that our App has not met your expectations, you may notify Apple, and Apple may refund the purchase price for the App to you; and that, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty.
11. LIMITATION OF LIABILITY IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OF PROFITS, LOSS OF USE, LOSS OF REVENUE, LOSS OF GOODWILL, ANY OBSTACLE TO BUSINESS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING FROM OR IN CONNECTION WITH THE USE OF THE APP.
12. THIRD PARTY BENEFICIARY You acknowledge and agree that Apple, and Apple's subsidiaries are the third party beneficiaries of the present end-user license agreement, and that upon your acceptance of the terms and conditions of the present Terms of Use and EULA. Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms of Use and EULA- as a third party beneficiary thereof.
13. GOVERNING LAW AND CLAIMS This Agreement shall be governed by and construed in accordance with the laws of the United States, Delaware State.
14. TERMINATION We reserve the right to terminate this Agreement at any time at its sole discretion for any reason. Upon any termination (a) the rights and licenses granted to you herein shall terminate; (b) you must cease all use of the App.
